Affiliate Terms

These terms are for partners who recommend IvaBoard and earn a commission when someone buys through their link. They are an agreement between you and Ivacode SRL, the company behind IvaBoard (see Terms of Service, section 1). You accept them when you apply to the program.

1. Joining the program

• You apply on our affiliate sign-up page. We review every application and may accept or refuse it without giving a reason.
• You can join as a person or as a business. You must be at least 18 and able to receive payments by PayPal.
• We cannot accept partners in Russia, Belarus, Iran, North Korea, Syria or Cuba, because of sanctions.
• You are an independent partner. You are not our employee or agent, and you cannot make promises or sign anything for us.

2. Your commission

• Commissionable Revenue means the amount paid for IvaBoard, excluding VAT, GST, sales tax and similar taxes, and reduced by refunds and chargebacks. Payment processing fees are not deducted from it.
• You earn 20% of the Commissionable Revenue from a customer you referred. We may agree a different rate with some partners, for example 15%; your rate is shown in your affiliate dashboard.
• The commission applies to every payment that customer makes in their first 12 months, including monthly and yearly renewals and lifetime instalments. It applies to every IvaBoard plan.
• There is no commission on a purchase that is refunded or charged back, or on your own purchases.

3. When a referral counts

• A purchase is yours when the customer buys within 30 days of clicking your link, and your link was the last affiliate link they clicked.
• Our website records the click only for visitors who allow marketing cookies in the cookie banner (see the Cookie Policy). We cannot credit a purchase we could not record.
• A referral is approved after the 14-day refund window of that purchase has passed, so that refunded purchases never earn a commission.
• If a purchase is refunded or charged back after we paid its commission, we deduct that commission from your next payouts.

4. Payouts

• We pay approved commissions once a month, by PayPal, in euros, to the PayPal address in your affiliate account. Commissions approved in one month are paid in the following month.
• We pay when your approved balance reaches €50. A smaller balance carries over to the next month.
• PayPal may charge you a fee to receive or convert the money. That fee is yours.

5. Taxes on your commission

• Ivacode SRL is a company in the Republic of Moldova. Under Moldovan tax law, a commission we pay to a partner who is not resident in Moldova is taxed in Moldova at 12%, withheld at source.
• We deduct the 12% from each commission before we pay it, so you receive 88% of the commission shown in your affiliate dashboard. We pay the 12% to the Moldovan state budget on your behalf.
• Lower rate under a tax treaty. If you live in a country that has a tax treaty with Moldova, the treaty rate can be lower than 12%, or zero. To use it, send us a tax residence certificate issued by the tax authority of your country for the calendar year of the payout (the original, or an electronic certificate that can be checked online), together with an authorised translation into Romanian. We apply the treaty rate to payouts made after we receive a valid certificate. Send a new certificate every calendar year.
• Without a valid certificate, or if your country has no tax treaty with Moldova, we withhold 12%.
• You are responsible for declaring your commission and paying any tax on it in your own country.
• For each payout we keep the Affiliate Terms you accepted, the commission report from our checkout (SureCart), the PayPal payment confirmation and our calculation of the tax withheld.

6. How you may promote IvaBoard

• Say that you earn a commission. Wherever you share your link, make it clear that you are an affiliate and may be paid if someone buys.
• Be accurate. Describe IvaBoard, its plans and its prices as they are on our pricing page. Do not promise features, results or terms that we do not offer.
• No coupons or discounts. IvaBoard prices are the same for everyone. Do not offer or advertise coupons, discount codes, cashback or rebates on IvaBoard, and do not list IvaBoard on coupon or deal sites. A purchase at any price other than the listed one does not work in our app.
• No brand bidding. Do not bid on "IvaBoard", "Ivacode" or similar words in paid search or social ads, and do not use them in domain names, app names or social media handles.
• No self referral. Do not use your own link for your own purchases or for purchases by your company or your employer.
• No spam or tricks. Do not send unsolicited messages, and do not use pop-ups, hidden links, forced clicks, cookie stuffing or anything else that records a referral without a real recommendation.
• Do not pretend to be us. Do not present yourself as IvaBoard or Ivacode, and use our name and logo only to point to IvaBoard.

If you break these rules, we may refuse or cancel the commissions involved and end your participation.

7. Your data

To run the program we keep your name, email address, PayPal address, country, your referrals and commissions, the payout records and, if you send it, your tax residence certificate. We use them to pay you and to meet Moldovan tax and accounting law, which sets how long we keep payout records. Our Privacy Policy explains your rights.

8. Ending and changes

• You can leave the program at any time by writing to [email protected]. We can end it, or your participation, at any time by email.
• When your participation ends, we pay the commissions already approved and those that become approved after their 14-day window, unless they come from a breach of these terms.
• We may change these terms. We tell you by email at least 14 days before a change applies. If you keep promoting IvaBoard after that, the new terms apply.

9. Liability and law

• We provide the program as it is. We are not liable for a lost commission caused by a tracking failure, a browser that blocks cookies, or a visitor who refuses marketing cookies.
• Apart from liability that cannot be limited by law, our total liability to you under these terms is limited to the commissions we paid you in the 12 months before the claim.
• These terms are governed by the laws of the Republic of Moldova, and the courts of the Republic of Moldova have jurisdiction.
